1. Introduction & Acceptance

By signing up for Elite Med Rep, you are agreeing to a legally binding contract with us. Read it. If you don't agree, don't use the platform.

Welcome to Elite Med Rep (“EMR,” “Company,” “we,” “us,” or “our”), a professional network and education platform built for medical device sales representatives. These Terms of Service and User Agreement (“Agreement” or “Terms”) govern your access to and use of the Elite Med Rep website, mobile application, and all related products and services (collectively, the “Platform” or “Services”).

By creating an account, accessing, or using the Services in any manner, you agree to be bound by this Agreement, our Privacy Policy (Section 10), and any additional terms applicable to specific features or programs (including the Founding Member Program, the Academy, and the Jobs Board). If you do not agree to these Terms, do not create an account or use the Services.

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting a prominent notice on the Platform or sending an email to the address associated with your account. Changes become effective fourteen (14) days after notice is provided. Your continued use of the Services after the effective date of any change constitutes acceptance of the revised Terms.

2. Eligibility & Account Registration

You must be 18 or older. One account per person. Don't impersonate anyone. You're responsible for everything that happens under your account.

The Services are intended solely for individuals who are 18 years of age or older. By registering, you represent and warrant that you are at least 18 years old.

When you create an account, you agree to: provide accurate registration information; maintain only one account per individual; keep your login credentials confidential; promptly notify us at legal@elitemedrep.com of any unauthorized use; and accept full responsibility for all activity under your account.

3. Founding Member Program

The first 1,000 members get a free-for-life membership and a Founding Member badge. That's a real commitment we're making. In exchange, you understand you own your content and your brand — but not a piece of the company. No equity, no revenue share, no ownership interest. Ever. Full stop.

Elite Med Rep designates the first one thousand (1,000) members who complete account registration as Founding Members. Founding Members receive: (a) permanent, free access to the then-current base membership tier (“Free-for-Life Membership”), personal and non-transferable; and (b) a persistent Founding Member badge on their profile.

Participation in the Founding Member Program does not confer, and shall never be construed to confer: any equity interest or ownership stake; any right to receive revenue, royalties, or profit-sharing; any right to vote on company matters; any intellectual property interest in the Platform; or any claim against Elite Med Rep based on commercial success. The Founding Member Program is a loyalty and recognition program only.

4. Anonymity & Identity

You can post anonymously on a per-post basis. We will not voluntarily reveal who wrote an anonymous post. But we will comply with valid legal process. And if your anonymous post contains enough detail that people can figure out who wrote it, that's on you.

The Platform offers a per-post anonymity feature. When you select the anonymous option, your display name and profile photo will not appear on that post in the public interface. Anonymous Posts are linked to your account internally for moderation and legal compliance.

Elite Med Rep will not voluntarily disclose the identity of an account associated with an Anonymous Post to other users, employers, or third parties, except: (a) in response to valid legal process; (b) to prevent imminent harm; or (c) to enforce these Terms.

We cannot protect you from being identified based on the content of your own posts. The anonymity feature conceals your name and profile; it does not anonymize the substance of what you write.

5. User-Generated Content & License

You own what you post. You're giving us permission to display and distribute it within the platform so the platform can work. We don't sell your content to third parties or use it in ads without your consent.

You retain full ownership of all original content you submit to the Services (“User Content”). By submitting User Content, you grant Elite Med Rep a non-exclusive, royalty-free, worldwide license to host, store, reproduce, and display your User Content within the Platform; distribute it to other users per your settings; and create aggregated or anonymized data for analytics.

Elite Med Rep will not sell your User Content to third parties, license it to advertisers without your affirmative consent, or use your compensation disclosures to create products sold to employers for wage benchmarking or suppression.

6. Community Rules & Prohibited Conduct

Be honest, be professional, don't be a bully, don't blow up someone's reputation with lies, don't leak your employer's secrets. Compensation talk is not just allowed — it's encouraged.

You may not use the Platform to: harass, threaten, or defame others; post false factual statements about any individual or company; disclose a third party's confidential, proprietary, or trade-secret information; impersonate any person or entity; post content that violates any applicable law; engage in coordinated wage-suppression activity (see Section 9); scrape or data-mine the Platform without written permission; or post spam or unsolicited commercial messages.

Compensation transparency is an explicit purpose of this Platform. Sharing your own compensation information, asking about comp ranges, and discussing industry pay is specifically permitted and encouraged under these Terms.

7. Jobs Board Terms

Job postings on Elite Med Rep must include a required compensation range. Postings without a compensation range will not be approved. The initial posting fee is $99 per posting. Employers posting jobs must agree to a supplemental Employer Posting Agreement before their first post, which incorporates the requirements of Sections 7 and 9 of these Terms.

Elite Med Rep does not guarantee the accuracy of job listings posted by third parties. You apply to positions at your own risk. Elite Med Rep is not a party to any employment relationship between a member and an employer.

8. Academy & Paid Tiers

Elite Med Rep may offer premium subscription tiers and Academy programs (“Paid Services”). Specific pricing, billing cycles, cancellation terms, and feature descriptions are provided at the point of purchase and on our Pricing page. All fees are in U.S. dollars. Refund eligibility is described at the point of purchase.

Founding Members receive Free-for-Life Membership to the base tier. Paid Academy tiers and future premium features are separate offerings and are not included in Free-for-Life Membership unless explicitly stated.

9. Wage-Suppression Prohibition

Elite Med Rep is expressly designed to counteract information asymmetry in medical device sales compensation. You may not use the Platform to coordinate, facilitate, or encourage wage suppression — meaning any agreement or concerted action among employers to set or limit compensation for medical device sales professionals, whether explicitly or through the use of Platform data.

Employers who use Jobs Board data, member compensation disclosures, or any other Platform data to set, limit, or benchmark compensation in coordination with other employers are in material breach of these Terms and will be terminated from the Platform. We reserve the right to report such conduct to relevant regulatory authorities.

10. Privacy Policy

Our Privacy Policy describes how we collect, use, and protect your personal information. The Privacy Policy is incorporated into these Terms by reference. By accepting these Terms, you also accept our Privacy Policy.

11. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. ELITE MED REP DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ELITE MED REP'S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO ELITE MED REP IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100). ELITE MED REP IS NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES.

13. Indemnification

You agree to indemnify, defend, and hold harmless Elite Med Rep, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with your use of the Services, your User Content, or your violation of these Terms.

14. Dispute Resolution & Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved by binding individual arbitration under the rules of the American Arbitration Association (“AAA”), conducted in English in Orange County, Florida, under Florida law. You waive your right to a jury trial and to participate in a class action.

Either party may seek injunctive or other equitable relief in any court of competent jurisdiction in Orange County, Florida to prevent actual or threatened infringement, misappropriation, or violation of intellectual property rights or confidential information.

15. DMCA & Intellectual Property

If you believe your copyrighted work has been posted on the Platform without authorization, please send a DMCA notice to legal@elitemedrep.com with: (a) identification of the copyrighted work; (b) identification of the infringing material and its location on the Platform; (c) your contact information; (d) a statement of good faith belief; and (e) a statement under penalty of perjury that you are authorized to act on behalf of the copyright owner.

16. Termination

You may close your account at any time via account settings. Elite Med Rep may suspend or terminate your account for: violation of these Terms; conduct harmful to other users or the Platform; fraudulent or illegal activity; or extended inactivity (30 days' notice). Founding Member accounts will not be terminated for non-cause reasons so long as the account is in good standing.

17. Changes to These Terms

We will notify users of material changes via email and in-platform notice at least 14 days before changes take effect. Your continued use after the effective date constitutes acceptance. If you do not accept the modified Terms, you must stop using the Services.

18. General Terms

These Terms constitute the entire agreement between you and Elite Med Rep with respect to the Services. If any provision is held invalid, the remaining provisions remain in full force. Florida law governs. You may not assign your rights under these Terms without our consent. Elite Med Rep may assign these Terms in connection with a merger or acquisition.
